Tax & Corporate Attorney

Career Consulting Partners is excited to collaborate with a prominent Southern California law firm that has been serving families for over a century. This esteemed firm specializes in a broad spectrum of legal services, including business, real estate, tax law, estate planning, probate, and employment law. Through carefully planned mergers, they have expanded their practice to include intellectual property and financial services, now proudly employing over 50 attorneys. We are in search of an attorney with a focus on Corporate & Tax Law.

• Will work closely with the Corporate & Tax Team, led by the firm's managing partner, to lead matters and handle complex corporate transactions.
• Draft, negotiate, and review key corporate agreements, including sales and purchase agreements, partnership agreements, shareholder agreements, and equity agreements.
• Assist in mergers and acquisitions, including conducting due diligence, drafting transactional documents, and ensuring compliance with applicable laws and regulations.
• Advise clients on business entity formation, corporate governance, tax implications, and equity structures.
• Provide proactive and strategic advice to clients regarding corporate governance, tax issues, and other business-related matters. Build and maintain strong client relationships.
• Work closely with the Managing Partner and senior attorneys to ensure that client objectives are met while maintaining the firm's high standards of legal practice.

• Juris Doctor (JD) degree from an accredited law school.
• Active membership and good standing with the California State Bar.
• Minimum 4 years of experience in corporate law, with a focus on business transactions, M&A, and partnership/ownership/equity agreements
• Strong experience drafting and reviewing a range of corporate agreements and documents
• Knowledge of tax laws related to business transactions.
• In-depth understanding of corporate governance, tax laws, mergers and acquisitions, and business structuring.
• High level of integrity and professionalism in client interactions and representation.

• Salary: $120,000 - $160,000
